1. Acceptance of These Terms
These Terms of Use govern access to and use of the websites, portals, software, dashboards, reports, content, and related services provided by Agropod LLC, referred to in these Terms as “Agropod,” “we,” “us,” or “our.” By accessing or using an Agropod service, you agree to these Terms and any additional terms presented in connection with a particular service, pilot, subscription, customer agreement, or agricultural program. If you do not agree, do not access or use the services. If you use the services on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.
2. Eligibility
You must be legally capable of entering into a binding agreement to use the services. If you access the services as an employee, contractor, advisor, farmer participant, or representative of an organization, your access may also be governed by an agreement between Agropod and that organization.
3. Description of Services
Agropod provides services related to agricultural data collection and organization, outcome measurement, evidence integration, data-quality assessment, geospatial analysis, traceability, verification readiness, reporting, program design, data governance, and decision support. Specific services, deliverables, methodologies, and responsibilities may be defined in a separate customer agreement, statement of work, order form, pilot agreement, or program protocol.
4. No Independent Verification Unless Expressly Stated
Agropod is not currently an accredited third-party validation or verification body. Unless a separate written agreement expressly states otherwise, Agropod services do not constitute independent verification, certification, an audit opinion, legal advice, tax advice, accounting advice, regulatory approval, a guarantee of program eligibility, a guarantee of payment or premium, or a guarantee that a claim will be accepted by a buyer, government agency, registry, lender, or assurance provider. Verification-ready status means that Agropod has organized or reviewed evidence according to the agreed service scope. It does not mean that an independent third party has validated or verified the claim.
5. Accounts and Security
Some services may require an account. You agree to provide accurate and current information, maintain the confidentiality of login credentials, use reasonable security practices, notify Agropod promptly of suspected unauthorized access, and accept responsibility for activity conducted through your account, except where prohibited by law. You may not share credentials except as expressly authorized.
6. Authorized Use
You may use the services only for lawful purposes and in accordance with these Terms and any applicable customer or program agreement. You may not access another user’s information without authorization; submit false or misleading records; alter evidence to misrepresent an outcome; circumvent access controls; interfere with platform security; upload malicious code; scrape or extract platform content at scale without permission; reverse engineer protected software except where legally permitted; use the services to violate applicable law; misrepresent an Agropod report as independent certification; remove or alter proprietary notices; or use Agropod’s name or marks without authorization.
7. User-Provided Information
You may submit farm records, field information, measurements, images, documents, data files, or other materials. You represent that you have the right to provide the information; the submission does not violate another person’s rights; the information is accurate to the best of your knowledge; and you will not knowingly submit fabricated or materially misleading evidence. You retain any rights you hold in your information. You grant Agropod the rights reasonably necessary to host, process, analyze, reproduce, transmit, and display the information for the purposes described in the applicable agreement, program documentation, and privacy disclosures.
8. Agricultural Data
Agricultural data may be subject to additional contractual terms among farmers, advisors, landowners, vendors, buyers, program operators, and other parties. You are responsible for determining whether you have authority to provide particular records. Agropod’s use of agricultural data will be governed by these Terms, the applicable Privacy Policy, customer agreements, program terms, data-processing agreements, participant authorizations, and other applicable written agreements. If these documents conflict, the more specific agreement will generally control for the relevant service.
9. Geospatial and Remote-Sensing Information
Geospatial outputs may be derived from satellite imagery, drone observations, public datasets, third-party services, models, and user-provided boundaries. Such outputs may contain resolution limitations, classification errors, cloud or atmospheric interference, delayed observations, boundary inaccuracies, model uncertainty, and missing data. Remote-sensing information should not be treated as a substitute for appropriate field inspection, professional agronomic advice, or direct measurement.
10. Models, Estimates, and Uncertainty
Some Agropod outputs may rely on statistical models, lifecycle models, algorithms, assumptions, proxies, or estimated inputs. Actual results may differ from modeled or estimated outcomes. Agropod will seek to identify material assumptions and limitations in relevant reports, but no model can eliminate uncertainty. You are responsible for evaluating whether an output is appropriate for your intended decision and for obtaining additional professional or independent review where necessary.
11. Third-Party Services
The services may connect to third-party platforms, laboratories, data providers, mapping systems, payment providers, software, or websites. Agropod does not control third-party services and is not responsible for their availability, accuracy, security, policies, or performance. Your use of a third-party service may be subject to separate terms.
12. Intellectual Property
The Agropod services, software, interface, methodologies, documentation, graphics, trademarks, and original content are owned by Agropod or its licensors and are protected by applicable intellectual-property laws. Except for rights expressly granted in writing, no license or ownership interest is transferred to you. Customer-specific deliverables and jointly developed materials may be governed by a separate written agreement.
13. Feedback
If you provide suggestions, ideas, or feedback about the services, you grant Agropod permission to use that feedback without restriction or compensation, unless otherwise agreed in writing. This provision does not grant Agropod ownership of your agricultural data.
14. Confidentiality
If Agropod and a customer have entered into a separate confidentiality or nondisclosure agreement, that agreement will govern covered information. You may not disclose another user’s confidential information obtained through the services without authorization.

Agropod may suspend or terminate access where reasonably necessary to protect the services or users, investigate suspected misuse, respond to nonpayment, comply with law, address security risks, or enforce applicable agreements. You may stop using the services at any time. Account closure and data retention are subject to applicable agreements and legal requirements.
17. Disclaimers
To the maximum extent permitted by law, the services are provided “as is” and “as available.” Agropod does not warrant that the services will be uninterrupted or error-free; every data source will be accurate or complete; every agricultural outcome will be measurable; a buyer or program will accept a report; a participant will receive a premium or payment; a tax credit or regulatory benefit will be available; an independent verifier will approve a claim; or modeled outcomes will match actual outcomes. Nothing in the services should replace professional agronomic, engineering, legal, tax, accounting, or regulatory advice.
18. Limitation of Liability
To the maximum extent permitted by applicable law, Agropod will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, business opportunities, premiums, credits, or anticipated savings arising from use of the services. Any additional limitations, exclusions, and liability caps should be established in the applicable customer agreement. Attorney review is particularly important for this section. Liability limitations vary by jurisdiction and contract type.
19. Indemnification
To the extent permitted by law, you agree to indemnify and hold Agropod harmless from third-party claims arising from your unlawful use of the services; information you submitted without authorization; fraudulent or misleading evidence; your violation of these Terms; or your infringement of another person’s rights. This provision requires attorney review before publication.
20. Changes to Services or Terms
Agropod may update the services and these Terms periodically. When material changes are made, Agropod will update the “Last updated” date and provide additional notice where required. Continued use after updated Terms become effective constitutes acceptance to the extent permitted by law.
21. Governing Law and Dispute Resolution
